Section 1 - Services Provided
BST makes ordering alcohol easy for licensed venues by handling procurement and delivery from LCBO and The Beer Store. Merchants use the platform to streamline inventory management. BST acts as the Merchant’s authorized agent for purchases.
Section 2 - Account Creation
Merchants must create an account and submit business documents for approval. Franchise and corporate locations can register through authorized managers with a valid Liquor Sales License. Only verified representatives can receive deliveries, with ID required.
Section 3 - Onboarding & Training
BST offers one-on-one onboarding to help Merchants navigate the platform, though training is optional. Merchants must ensure their team understands the ordering process.
Section 4 - Pricing & Payment
Prices match LCBO and The Beer Store rates, with added service and delivery fees that may change. Payments can be made via credit card, cash, Interac, or bank transfer, all requiring verification. Refunds must be handled directly with LCBO or The Beer Store.
Section 5 - Failed Deliveries
If a delivery fails due to missing info, declined payments, or an absent authorized recipient, a fee applies. Merchants must ensure compliance to avoid account suspension. Multiple failed deliveries may lead to termination.
Section 6 - Agency Agreement
BST acts on behalf of Merchants to legally purchase and deliver alcohol. Merchants authorize BST to use their Liquor Sales License, but BST never takes ownership of the inventory. Merchants are responsible for regulatory compliance.
Section 7 - Receipts & Invoices
Each order comes with LCBO/Beer Store receipts plus a BST invoice. An authorized rep must sign for deliveries, with ID scanned for verification. Failure to sign may result in a failed delivery classification.
Section 8 - Liability & Indemnification
Merchants must follow all liquor laws and regulations. BST isn’t responsible for legal issues caused by non-compliance. Merchants agree to cover any claims, penalties, or damages related to their business operations.
Section 9 - Confidentiality
Both parties must keep business information private, except when legally required. Protective measures must be in place to prevent unauthorized disclosure. Confidentiality remains in effect even after the Agreement ends.
Section 10 - Merchant Responsibilities
Merchants must keep business and licensing info updated and ensure all orders follow legal requirements. An authorized representative must be available at delivery with matching ID. Failure to comply may lead to penalties or account suspension.
Section 11 - Return Policy
Alcohol returns must go through LCBO or The Beer Store. BST does not process refunds, and service fees remain non-refundable. Any costs for returning inventory are the Merchant’s responsibility.
Section 12 - Chargeback Policy
Chargebacks aren’t allowed for payments made through BST. Disputes must be resolved directly with BST. Any chargeback attempts will result in fees and possible legal action.
Section 13 - Terms & Termination
Merchants can cancel with five business days’ notice, but pending orders will be completed. BST can also terminate the Agreement with notice. Outstanding balances must be settled before account closure.
Section 14 - Liability & Indemnification
Merchants take full responsibility for following liquor laws. BST isn’t liable for any legal issues the Merchant causes. Merchants must cover any losses or legal fees resulting from their actions.
Section 15 - Governing Law & Dispute Resolution
This Agreement follows Ontario law, with disputes first handled through negotiation. If unresolved, arbitration in Toronto will settle disputes. The winning party in legal matters can recover legal costs.
Section 16 - Entire Agreement
This Agreement replaces any prior agreements and can only be changed in writing. If one section is found invalid, the rest remains in effect. Both parties must follow all terms outlined.
Section 17 - Acknowledgment
By signing, the Merchant agrees to all terms and confirms they understand their responsibilities. They acknowledge they’ve had a chance to seek legal advice. This Agreement is legally binding and must be followed.
